Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of AutoAdmin OS and any other services provided by Native Casa LLC ("NativeCasa", "we", "us", or "our") through nativecasa.com. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

Additional products including Website Design and Warehouse Software are currently in development. Terms governing those products will be published upon their release.

2. Services Provided

AutoAdmin OS is a cloud-based auto repair shop management SaaS platform that includes:

  • Digital vehicle inspections
  • Customer management (CRM)
  • Invoicing and estimates
  • SMS and email marketing campaigns
  • Parts ordering hub
  • Job board and scheduling
  • Calendar and appointment management
  • Payment processing integration
  • Owner, manager, and technician role access

3. Subscription Plans

Monthly Plan

  • Billed monthly via Stripe
  • Auto-renews each month until cancelled
  • Cancel anytime — no future charges after cancellation
  • No refund for the current billing period after 30-day guarantee period

Annual Plan

  • One-time payment covering 12 months of service
  • Includes a significant discount compared to monthly billing
  • Cancel anytime — access continues until end of prepaid annual term
  • Non-refundable after the 30-day satisfaction guarantee period

30-Day Satisfaction Guarantee

We stand behind our software. If you are not satisfied within the first 30 days of your subscription, contact us at nativecasaoffice@gmail.com for a full refund — no questions asked. After 30 days, the refund policy above applies.

4. Billing and Payment

  • All payments processed securely via Stripe
  • You authorize NativeCasa to charge your payment method on the billing date
  • Prices are listed in USD and may change with 30 days advance notice
  • You are responsible for keeping your payment method current and valid
  • Applicable taxes may be added based on your location

5. Failed Payment and Service Suspension

If a payment fails:

  • You will be notified immediately by email
  • You have 7 calendar days to update your payment method
  • After 7 days without successful payment, your service will be suspended
  • Your data will be retained for 30 days after suspension
  • After 30 days of suspension without payment, your data may be permanently deleted
  • To reinstate service, update your payment method and contact nativecasaoffice@gmail.com

6. Cancellation Policy

  • Monthly plan: cancel anytime through your account or by contacting nativecasaoffice@gmail.com
  • Annual plan: cancel anytime — access continues until end of prepaid term
  • No partial refunds after the 30-day satisfaction guarantee period
  • Upon cancellation you may request a full data export within 30 days
  • Data export delivered in CSV and JSON formats within 5 business days of request
  • PDF invoices are accessible directly from the app at any time
  • After 30 days post-cancellation, data may be permanently deleted
  • NativeCasa is not responsible for data loss after the 30-day retention window

7. SMS Communications and Acceptable Use

AutoAdmin OS includes SMS capabilities powered by Twilio (A2P registered, Native Casa LLC brand approved). By using the SMS features you agree to:

  • Only send messages to contacts who have given explicit written consent
  • Maintain separate consent records for transactional and marketing messages
  • Never attempt to bypass the STOP opt-out system
  • Never send spam, phishing, fraudulent, or prohibited content via SMS
  • Never import contact lists obtained without proper TCPA consent
  • Never attempt to modify or spoof the sender ID
  • Never send content promoting illegal activities
  • Never use SMS to harass, threaten, or abuse recipients
  • Never attempt to circumvent A2P registration requirements
  • Comply with all applicable laws including TCPA and carrier regulations

SMS Monitoring and Enforcement

NativeCasa monitors SMS activity for compliance. Accounts showing unusual opt-out rates, carrier rejections, or prohibited content will be flagged automatically. The SMS feature will be temporarily disabled pending review. Client has 48 hours to respond before full account suspension. Violations that cause regulatory liability or fines to NativeCasa will be subject to immediate termination and indemnification claims.

8. Acceptable Use Policy

You agree NOT to:

  • Use the platform for any illegal purpose
  • Attempt to hack, reverse engineer, or copy the software
  • Share login credentials with unauthorized users
  • Scrape or bulk export data without permission
  • Resell or sublicense access to the platform
  • Use the platform to harass, threaten, or abuse customers
  • Attempt to access other shops' data
  • Create fake customer records to manipulate the system
  • Use automated bots or scripts to abuse the platform
  • Violate any applicable local, state, federal, or international law

Violation of this Acceptable Use Policy will result in immediate termination of your account with no refund and no warning.

9. Intellectual Property

  • NativeCasa owns all rights to AutoAdmin OS including the software, code, design, features, and branding
  • AutoAdmin OS is proprietary software protected by copyright law

  • You own your data — your customer records, invoices, and inspection history belong to you
  • You are granted a limited, non-exclusive, non-transferable license to use AutoAdmin OS during your subscription
  • This license terminates immediately upon cancellation or termination of your account
  • You may not copy, modify, distribute, or create derivative works based on AutoAdmin OS

10. Data Security and Privacy

  • We protect your data using industry-standard security practices
  • All data encrypted in transit (TLS 1.2+) and at rest (Google Firebase)
  • Regular automated backups maintained
  • Full details in our Privacy Policy at nativecasa.com/privacy
  • You are responsible for maintaining the confidentiality of your login credentials
  • Notify us immediately at nativecasaoffice@gmail.com if you suspect unauthorized access

11. Service Availability

  • NativeCasa provides AutoAdmin OS on a best-effort basis
  • We monitor uptime 24/7 via Better Uptime
  • Planned maintenance will be communicated in advance when possible
  • We are not liable for downtime caused by third-party services (Twilio, Stripe, Firebase, Resend)
  • No guaranteed uptime SLA at current pricing tier

12. Limitation of Liability

  • NativeCasa's maximum liability to you is limited to the fees you paid in the last 3 months
  • NativeCasa is not liable for indirect, incidental, or consequential damages including lost revenue, lost customers, or lost data
  • NativeCasa is not liable for damages caused by third-party service outages (Twilio, Stripe, Firebase, Resend)
  • Some jurisdictions do not allow limitation of liability — in such cases liability is limited to the maximum extent permitted by law

13. Indemnification

You agree to indemnify and hold harmless Native Casa LLC, its officers, employees, and agents from any claims, damages, fines, or legal fees arising from:

  • Your violation of these Terms
  • Your violation of TCPA or carrier SMS regulations
  • Your misuse of the SMS features
  • Your violation of any applicable law
  • Any third-party claims arising from your use of AutoAdmin OS

14. Termination by NativeCasa

NativeCasa reserves the right to immediately terminate your account without refund or warning for:

  • Breach of these Terms of Service
  • SMS violations causing regulatory liability to NativeCasa
  • Unauthorized access to the platform or other clients' data
  • Fraud or misrepresentation
  • Any violation of the Acceptable Use Policy

15. Dispute Resolution

Step 1 — Informal Resolution

Before filing any legal claim, you must contact NativeCasa at nativecasaoffice@gmail.com and describe the dispute in detail. NativeCasa has 30 days to respond and attempt to resolve the issue informally.

Step 2 — Arbitration

If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in Colorado Springs, Colorado under the rules of the American Arbitration Association. The arbitrator's decision is final and binding on both parties.

NativeCasa reserves the right to bypass arbitration and seek immediate legal relief in a court of competent jurisdiction in Colorado Springs, Colorado for:

  • Breach of this Agreement
  • Copyright or trademark infringement
  • Unauthorized access to the platform or other clients' data
  • SMS violations causing regulatory liability to NativeCasa
  • Fraud or misrepresentation
  • Misappropriation of confidential or proprietary information
  • Indemnification claims arising from client violation of TCPA or carrier regulations
  • Defamation or damage to NativeCasa's business reputation

Attorney's Fees

In any legal action where NativeCasa prevails against a client for violations listed above, the client shall be responsible for NativeCasa's reasonable attorney's fees and court costs.

16. Governing Law

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles. Any legal proceedings shall take place in Colorado Springs, Colorado.

17. Changes to These Terms

NativeCasa reserves the right to modify these Terms at any time. For material changes, we will notify you by email at least 30 days before the change takes effect. Continued use of AutoAdmin OS after changes take effect constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy at nativecasa.com/privacy, constitute the entire agreement between you and NativeCasa regarding AutoAdmin OS. They supersede any prior agreements or understandings.
